OVERVIEW

Welcome to Raelon.

Raelon is a material handling equipment brand and online store operated by Prolift Rentals Ltd. In these Terms of Service, the terms “Raelon,” “we,” “us,” and “our” refer to Prolift Rentals Ltd. in connection with the operation of the Raelon store and the provision of the Services.

Raelon operates this store and website, including all related information, content, features, tools, products, and services, in order to provide you, the customer, with a curated shopping experience (the “Services”). Raelon is powered by Shopify, which enables us to provide the Services to you.

These terms and conditions, together with any policies referenced herein (these “Terms of Service” or “Terms”), describe your rights and responsibilities when you use the Services.

Please read these Terms of Service carefully, as they include important information about your legal rights and cover areas such as warranty disclaimers and limitations of liability.

By visiting, interacting with, or using our Services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms of Service or our Privacy Policy, you should not use or access our Services.

SECTION 1 - ACCESS AND ACCOUNT

By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state, province, territory, or jurisdiction of residence.

To use the Services, including accessing or browsing our online store or purchasing any of the products or services we offer, you may be asked to provide certain information, such as your email address, billing information, payment information, shipping information, and other order-related details.

You represent and warrant that all information you provide through the Services is accurate, current, and complete and that you have all rights necessary to provide that information.

You are solely responsible for maintaining the security of your account credentials and for all activity occurring through your account. You may not transfer, sell, assign, or license your account to another person without our permission.

SECTION 2 - OUR PRODUCTS

We make reasonable efforts to provide accurate descriptions, specifications, images, and other information concerning products offered through our online store.

However, product colors, appearance, or other visual details may differ from how they appear on your screen due to your device, display settings, lighting, photography, or other factors.

Product specifications, features, availability, packaging, and descriptions may be updated from time to time. We reserve the right to correct errors, update product information, discontinue products, or limit the quantities of products offered to any person, geographic region, or jurisdiction, subject to applicable law.

Before purchasing material handling equipment, you are responsible for reviewing the applicable product specifications and determining whether the product is appropriate for your intended application, operating environment, load, pallet, workspace, and other requirements.

If you are unsure whether a product is suitable for your application, please contact Raelon before ordering.

SECTION 3 - ORDERS

When you place an order, you are making an offer to purchase products from Prolift Rentals Ltd. through the Raelon store.

We reserve the right to accept, reject, limit, or cancel an order, subject to applicable law.

Your order is not considered accepted until we confirm acceptance of the order. We must receive and process the applicable payment before an order is accepted unless another payment arrangement has been expressly approved.

Please review your order carefully before submitting it. We may be unable to accommodate cancellation or modification requests after an order has been accepted or processing has begun.

If we decline, modify, or cancel an order, we will attempt to notify you using the email address, billing information, shipping information, or phone number provided with the order.

Returns and refunds are governed by our Return & Refund Policy.

Shipping and delivery are governed by our Shipping Policy.

You are responsible for ensuring that your purchase, possession, use, resale, transportation, or export of any product complies with applicable laws and regulations.

Nothing in these Terms restricts lawful commercial or business use of Raelon equipment.

SECTION 4 - PRICES AND BILLING

Prices, discounts, promotions, and product availability are subject to change without notice.

The price charged for a product will be the price in effect when the applicable order is placed and accepted, subject to correction of obvious pricing or system errors as permitted by applicable law.

Unless otherwise expressly stated, displayed product prices do not include applicable taxes, shipping, handling, customs duties, import charges, or other charges that may apply.

Shipping charges are displayed or calculated separately according to the applicable shipping method and our Shipping Policy.

Prices offered through the online store may differ from prices offered through another sales channel, quotation, promotion, marketplace, or third-party seller.

We may offer promotions from time to time. Promotions may be subject to separate terms and conditions. If specific promotion terms conflict with these Terms with respect to that promotion, the applicable promotion terms will control.

You agree to provide current, complete, and accurate purchase, payment, billing, and account information.

You represent and warrant that you are authorized to use the payment method provided and that the payment information submitted is accurate.

You agree to pay all charges associated with an accepted order, including applicable product prices, shipping charges, and taxes.

SECTION 5 - SHIPPING AND DELIVERY

Shipping and delivery are governed by our Shipping Policy.

For the Raelon F4, the current standard shipping rate is USD destination-calculated shipping per unit within the contiguous United States.

For example:

1 F4 unit: destination-calculated shipping shipping
2 F4 units: $500 shipping
3 F4 units: $750 shipping

Alaska and Hawaii are excluded from this standard shipping rate. Customers in Alaska or Hawaii should contact Raelon before ordering to discuss shipping availability and freight.

Free warehouse pickup for the F4 is available in Commerce, California, in the Los Angeles area. After a pickup order is placed, Raelon will contact the customer to confirm the pickup time, exact warehouse address, and pickup instructions.

Processing and transit times may vary based on product availability, destination, carrier availability, and delivery requirements. Unless expressly confirmed otherwise, delivery times are estimates and are not guaranteed.

We are not responsible for delays caused by carriers, severe weather, government action, customs or regulatory processing, labor interruptions, natural events, or other circumstances outside our reasonable control.

Risk of loss and responsibility for goods in transit will be determined in accordance with applicable law and the applicable shipping terms.

Customers should inspect freight shipments upon delivery. Shipping damage must be documented and reported in accordance with our Shipping Policy and Return & Refund Policy, including our requirement to contact Raelon within 48 hours of delivery regarding freight damage.

Nothing in this section limits any rights or remedies that cannot be excluded under applicable law.

SECTION 6 - INTELLECTUAL PROPERTY

The Services, including trademarks, brand names, text, graphics, photographs, product images, videos, audio, reviews, website design, layout, and other content, are owned by or licensed to Raelon, Prolift Rentals Ltd., our affiliates, or applicable licensors and are protected by applicable intellectual property laws.

These Terms permit you to use the Services for lawful personal or business purchasing and informational purposes.

Unless expressly authorized, you must not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, transmit, or commercially exploit material from the Services without prior written permission from the applicable rights holder.

Except as expressly provided herein, nothing in these Terms grants you any license or ownership right under any trademark, patent, copyright, design right, or other intellectual property right belonging to Raelon, Prolift Rentals Ltd., Shopify, or any third party.

Raelon names, logos, product names, service names, designs, and slogans are trademarks or other intellectual property of their respective owners or licensors and may not be used without appropriate authorization.

Shopify’s name, logo, product and service names, designs, and slogans are trademarks of Shopify or its affiliates. All other trademarks appearing through the Services belong to their respective owners.

SECTION 7 - OPTIONAL TOOLS

You may be provided access through the Services to tools or functionality offered by third parties that we do not control.

You acknowledge that such third-party tools may be made available “as is” and “as available” without warranties, representations, or conditions from Raelon regarding the third-party service.

To the fullest extent permitted by applicable law, we are not responsible for liabilities arising solely from your use of optional third-party tools.

Your use of third-party tools is at your own discretion and may also be subject to the applicable third party’s terms and privacy practices.

We may add new features, tools, integrations, or resources to the Services in the future. Such features will form part of the Services where applicable and will be subject to these Terms.

SECTION 8 - THIRD-PARTY LINKS

The Services may contain links, embedded functionality, or other materials provided by third parties.

We are not responsible for independently examining or guaranteeing the accuracy, content, security, availability, products, or services of third-party websites or platforms.

If you choose to access a third-party website or service, you do so subject to that third party’s terms, policies, and practices.

We are not responsible for harm or damages arising solely from transactions between you and an unaffiliated third party.

Questions or disputes concerning products or services supplied directly by third parties should be directed to the relevant third party.

SECTION 9 - RELATIONSHIP WITH SHOPIFY

Raelon is powered by Shopify, which provides technology that enables us to offer the Services.

However, purchases made through the Raelon store are transactions between you and Prolift Rentals Ltd., as the operator of the Raelon store. Shopify is not the seller of Raelon products.

By using the Services, you acknowledge that Shopify is not responsible for the products sold by Raelon or for the fulfillment of sales transactions between you and Prolift Rentals Ltd., except to the extent Shopify separately provides services directly to you under its own terms.

To the fullest extent permitted by applicable law, you release Shopify and its affiliates from claims arising solely from products purchased from Raelon or transactions directly between you and Prolift Rentals Ltd.

SECTION 10 - PRIVACY POLICY

Personal information collected through the Services is handled in accordance with our Privacy Policy.

Certain personal information may also be collected and processed by Shopify in accordance with Shopify’s applicable privacy terms and policies.

Because the Services are hosted by Shopify, information submitted through the Services may be transmitted to and processed by Shopify and other service providers, including providers located outside the country in which you reside, as described in our Privacy Policy.

Please review our Privacy Policy for more information about how personal information is collected, used, disclosed, stored, and processed.

SECTION 11 - FEEDBACK

If you submit, upload, post, email, or otherwise transmit ideas, suggestions, feedback, reviews, proposals, plans, or other content relating to Raelon or the Services (“Feedback”), you grant us a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute, and display that Feedback for lawful business purposes, including operating, evaluating, improving, and promoting the Services.

You represent and warrant that:

1. you own or have the necessary rights to submit the Feedback;
2. you have disclosed any compensation or incentive received in connection with the Feedback where disclosure is required; and
3. your Feedback complies with these Terms and applicable law.

Except where required by law or separately agreed, we are not obligated to maintain Feedback in confidence, pay compensation for Feedback, or respond to Feedback.

We may monitor, edit, restrict, or remove Feedback that we reasonably believe violates applicable law, these Terms, intellectual property rights, or the rights of another person.

You must not submit Feedback containing unlawful material, malicious software, knowingly false statements, or content that infringes another party’s rights.

SECTION 12 - ERRORS, INACCURACIES AND OMISSIONS

Information available through the Services may occasionally contain typographical errors, inaccuracies, omissions, technical errors, or outdated information relating to product descriptions, specifications, pricing, promotions, shipping charges, transit information, or availability.

Subject to applicable law, we reserve the right to correct errors, inaccuracies, or omissions and to update information when identified.

If a material error affects an order you have already submitted, we may contact you to explain the issue and, where appropriate, modify or cancel the affected order and issue any required refund.

SECTION 13 - PROHIBITED USES

You may access and use the Services only for lawful purposes.

You must not access or use the Services, directly or indirectly:

(a) for any unlawful, fraudulent, or malicious purpose;

(b) to violate applicable international, federal, provincial, territorial, state, or local laws or regulations;

(c) to infringe or violate our intellectual property rights or the intellectual property or other rights of another party;

(d) to harass, abuse, threaten, defame, intimidate, or unlawfully harm another person;

(e) to knowingly transmit false, deceptive, or misleading information;

(f) to transmit material that violates these Terms;

(g) to send unauthorized spam, junk mail, chain letters, or similar solicitations;

(h) to impersonate another person or entity; or

(i) to interfere with another person’s use of the Services or engage in conduct that may damage the Services, Raelon, Prolift Rentals Ltd., Shopify, or other users.

You also agree not to:

(a) upload or transmit viruses, malware, or other malicious code;

(b) reproduce, duplicate, copy, extract, sell, resell, or exploit material portions of the Services except as authorized;

(c) unlawfully collect or track personal information concerning others;

(d) spam, phish, pharm, scrape, or pretext the Services;

(e) use robots, spiders, scraping systems, automated data-extraction systems, AI agents, or other automated or manual mechanisms to access or extract content from the Services in violation of our stated restrictions; or

(f) bypass or circumvent security measures, access controls, robot exclusion instructions, or other technical measures used to restrict access.

We may suspend, restrict, or terminate access to the Services if we reasonably determine that these Terms have been violated.

SECTION 14 - AGENTS

14.1 This section (“Agent Terms”) applies if you use, allow, enable, or cause the deployment of an Agent to access, use, or interact with any portion of the Services.

“Agent” means software or a service that takes autonomous or semi-autonomous action on behalf of, or at the instruction of, a person or entity without direct supervision for each individual action.

14.2 No Agent may access, use, or interact with the Services unless it identifies itself and complies with the requirements in this section. No Agent may continue to access or interact with the Services after we have requested that it stop.

14.3 We may use technical or other measures to limit whether and how Agents access, use, or interact with the Services.

14.4 Agents must:

(i) identify automated requests as originating from an Agent and disclose the name of the Agent in a reasonable and technically appropriate manner, including through the user-agent string where applicable;

(ii) not conceal or misrepresent automated access as human behavior;

(iii) not bypass CAPTCHAs, access restrictions, rate limits, or measures intended to distinguish automated access from human access;

(iv) respond truthfully to reasonable requests intended to determine whether an interaction originates from an automated system; and

(v) not circumvent measures intended to block, limit, modify, or control Agent access to the Services.

SECTION 15 - TERMINATION

We may terminate these Terms or suspend or terminate your access to the Services, in whole or in part, where permitted by applicable law, including if we reasonably determine that you have materially violated these Terms.

Amounts properly due before termination remain payable.

Provisions that by their nature should survive termination will continue to apply, including provisions concerning Intellectual Property, Feedback, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Governing Law, Privacy, and accrued payment obligations.

SECTION 16 - DISCLAIMER OF WARRANTIES

Information presented through the Services is provided for general product, purchasing, and informational purposes.

Although we make reasonable efforts to provide accurate information, we do not warrant that all website content will at all times be complete, current, uninterrupted, or error-free.

The Raelon F4 is provided with the express limited warranty described in our Warranty policy, including the applicable 1-year equipment warranty and 1-year battery warranty.

Nothing in this section excludes or limits that express warranty or any warranty, condition, right, or remedy that cannot lawfully be excluded.

EXCEPT FOR EXPRESS WARRANTIES PROVIDED BY RAELON AND RIGHTS THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM IMPLIED WARRANTIES OR CONDITIONS THAT MAY OTHERWISE APPLY, INCLUDING IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, DURABILITY, AND NON-INFRINGEMENT, TO THE EXTENT SUCH WARRANTIES OR CONDITIONS MAY LAWFULLY BE DISCLAIMED.

WE DO NOT GUARANTEE THAT ACCESS TO THE SERVICES WILL ALWAYS BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

SOME JURISDICTIONS LIMIT OR PROHIBIT CERTAIN WARRANTY DISCLAIMERS, AND IN THOSE JURISDICTIONS THE ABOVE LIMITATIONS APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

SECTION 17 - LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, RAELON, PROLIFT RENTALS LTD., AND OUR RESPECTIVE AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, BUSINESS INTERRUPTION, OR REPLACEMENT COSTS, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES OR PRODUCTS PURCHASED THROUGH THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE FOREGOING LIMITATIONS APPLY REGARDLESS OF WHETHER THE CLAIM ARISES IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, STATUTE, OR ANOTHER LEGAL THEORY.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

SECTION 18 - INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Prolift Rentals Ltd., Raelon, Shopify, and our respective affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from third-party claims, losses, damages, liabilities, and reasonable legal fees arising from:

1. your material breach of these Terms or policies incorporated into these Terms;
2. your violation of applicable law or the rights of another party; or
3. unlawful or unauthorized use of the Services.

We will provide reasonable notice of an indemnifiable claim where practicable. Failure to provide immediate notice does not relieve your obligations except to the extent you are materially prejudiced.

You agree to reasonably cooperate in the defense of an indemnifiable claim.

SECTION 19 - SEVERABILITY

If any provision of these Terms is determined to be unlawful, invalid, void, or unenforceable, that provision will be enforced to the fullest extent permitted by applicable law and the unenforceable portion will be severed where necessary.

The remaining provisions will continue in full force and effect.

SECTION 20 - WAIVER; ENTIRE AGREEMENT

Our failure to exercise or enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

These Terms, together with the policies and operating rules posted through the Services and incorporated by reference, constitute the agreement governing your use of the Services and supersede prior versions concerning the same subject matter.

No ambiguity in these Terms will automatically be construed against a party solely because that party drafted or supplied the applicable language.

SECTION 21 - ASSIGNMENT

You may not transfer or assign these Terms or your rights or obligations under these Terms without our prior written consent, except where such restriction is prohibited by applicable law.

We may assign or transfer these Terms, or our rights and obligations under them, in connection with a corporate reorganization, sale of business or assets, merger, financing, affiliate restructuring, or similar transaction, or as otherwise permitted by applicable law.

SECTION 22 - GOVERNING LAW

These Terms of Service and any separate agreements through which Prolift Rentals Ltd. provides the Services will be governed by and construed in accordance with the laws of Canada, without limiting any mandatory rights or protections that may apply to you under applicable law.

Nothing in these Terms requires you to waive rights or remedies that cannot lawfully be waived.

The headings used in these Terms are included for convenience only and do not limit or otherwise affect the interpretation of these Terms.

SECTION 24 - CHANGES TO THESE TERMS OF SERVICE

You may review the most current version of these Terms of Service on this page.

We may update, modify, or replace portions of these Terms from time to time by posting an updated version through the Services.

Where required by applicable law, we will provide notice of material changes.

The effective or “Last updated” date displayed at the beginning of these Terms indicates when the latest version became effective.

Your continued use of the Services after an updated version becomes effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.
